Terms & Conditions for Using Validat Limited Services

These terms apply to self-serve subscription accounts and use of the Validat website only. Enterprise clients are governed by a separate agreement provided directly by Validat. By accessing the website or activating a subscription account, you agree to these terms. If you do not agree, please discontinue use.

Website Use
1.1 About Validat
Validat Limited ("Validat", "we", "us") is registered in England and Wales, company number 15379562. Registered office: 39 Worple Way, Harrow, London HA2 9SN, U.K. VAT number GB470 012538. We build orchestration software for businesses.
1.2 Accessing the Website
The website is provided for information purposes only. You may use it only for lawful purposes and in a manner consistent with these terms. We reserve the right to withdraw or amend content at any time without notice.

All content on this website - including text, graphics, logos and software - is owned by or licensed to Validat and is protected by intellectual property law. You may not copy, reproduce, modify or distribute any content without our prior written consent.

SECTION 2
Platform and Subscription Terms
2.1 What Validat Provides and to Whom
The Validat platform provides software and workflow tooling across three core areas: (1) compliance orchestration - including identity verification, sanctions and PEP screening, and transaction monitoring; (2) banking and reconciliation - including a proprietary ledger system that maintains real-time balances, produces on-demand statements, and supports reconciliation workflows; and (3) subscription-based self-serve access to all (but not limited to) of the above for fintechs, EMIs, PSPs and brokers. Validat is a technology provider only. It does not act as a bank, payment institution, money service business, law firm, compliance adviser or outsourced MLRO. The ledger is a technology tool; Validat does not hold client funds or provide regulated payment services.
The services are provided to the legal entity such as a limited company, LLP, partnership or sole trader which subscribes which is fully responsible for ensuring all its employees, directors and partners comply with these terms. “You” in these terms means that entity. 2.2 Validat is the Orchestration Layer
Validat orchestrates third-party services on your behalf. Identity verification and sanctions screening are performed by our third-party providers who contract to provide the service to Validat on behalf of Validat clients. Validat then contracts with its clients who pay Validat for the service. Validat does not itself make KYC determinations or maintain sanctions databases. The Validat ledger system maintains real-time balances and supports reconciliation, but Validat is not party to any underlying financial transactions and does not provide regulated payment or banking services.
All platform outputs are decision-support tools only. You remain solely responsible for all onboarding, risk classification and compliance decisions. No result, score or screening outcome should be treated as confirmation that a person is risk-free or lawful to onboard.

2.3 Subscription Plans
Validat offers four plans:
- Kickoff — free trial
- Launchpad — £99/month
- Accelerator — £299/month
- Hyperscale — £799+/month
Features and credit allowances for each plan are published at validat.co.uk/pricing.
2.4 Free Trial - Kickoff Plan
The Kickoff plan provides 3 Validat Credits per month for up to 3 months at no charge. No payment details are required.
- Trial credits expire at the end of each calendar month and unused credits do not roll over.
- At the end of the 3 months, your account reverts to read-only access. No charges are applied unless you actively upgrade.
- Validat may limit certain features in the trial environment and may modify or end free trials at any time with reasonable notice. 2.5
2.5 Billing, Auto-Renewal and Credit Exhaustion
Paid subscriptions are billed monthly in advance. Subscriptions renew automatically at the end of each billing period at the then-current price. By maintaining a paid subscription, you authorise Validat to charge the recurring monthly fee to your payment method.
The platform operates on a credit-based model. When your credit balance reaches zero - whether through consumption or expiry - all paid platform actions requiring credits will stop automatically. You will be prompted within the platform to top up your credits before paid activity can resume. Access to the platform dashboard, audit trail and previously generated statements and records remains available regardless of credit balance. A top-up of £50 is available at any time and is separate from your monthly subscription.

2.6 Price Changes
Validat will give at least 30 days' written notice before a price change takes effect. Continued use after the notice period constitutes acceptance. You may cancel if you do not accept the revised pricing.
2.7 Cancellation
You may cancel a paid subscription at any time by giving 30 days' written notice to info@validat.co.uk or through your account dashboard. You retain access during the notice period and the fee for that period remains payable. Validat does not refund partial billing periods.
On cancellation, your data remains accessible for an export window of up to 30 days, after which it may be deleted in accordance with our Privacy Policy.

2.8 Upgrades and Downgrades
- Upgrades and downgrades both take effect at the start of the next billing cycle. No pro-rata charge or refund applies within the current period. Features of the new plan become available, or are restricted to those of the lower plan, from the date the change takes effect.
- Credits included in a plan do not carry over to a different plan tier unless expressly agreed in writing. If you have a positive top-up credit balance at the time of a plan change, those credits remain available.
2.9 Credits
Credits are deducted at the point an action is performed, not when a result is returned. The deduction rates are as follows:
- 1 credit - ongoing monitoring
- 0.7 credits - KYC / identity verification check
- 0.3 credits - one-off sanctions check
Credits included in a monthly plan refresh at the start of each billing cycle and do not roll over. Top-up credits (£50 per top-up) are available at any time, are non-refundable, and expire 12 months from the date of purchase. Where an action is initiated but fails before completion, Validat’s credit consumption guide (available in the account dashboard) sets out whether a credit is deducted in each scenario.
2.10 Subscriber Responsibilities
You are responsible for:
- ensuring all data submitted to the platform is accurate, complete and lawfully obtained;
- maintaining internal compliance policies and governance appropriate to your use of the platform;
- ensuring only authorised users within your organisation access the platform;
- all onboarding, risk classification, escalation, monitoring and regulatory filing decisions made using platform outputs.
2.11 Platform Intellectual Property
All intellectual property in the platform, documentation and workflows belongs to Validat or its licensors. You receive a limited, non-exclusive, non-transferable licence to use the platform during your subscription for your internal business purposes.
2.12 Suspension and Termination
Validat may suspend or terminate your access immediately where you use the platform unlawfully, pose a material sanctions or security risk, have overdue fees, or where continued service would expose Validat or its providers to legal or regulatory risk. In addition, either party may terminate this agreement for material breach not remedied within 30 days of written notice.
2.13 Limitation of Liability (Platform)
Validat is not liable for decisions you make using platform outputs, inaccurate data you submit, third-party provider failures, or your regulatory non-compliance. Validat's aggregate liability for platform-related claims shall not exceed the total fees you paid in the one month preceding the event giving rise to the claim, save that nothing in this agreement shall exclude or limit the liability of either party for death or personal injury caused by negligence nor for fraud.

Maintenance, Downtime and Data
3.1 Availability
We work to maintain the availability of the Validat platform at all times and provide support on business days. We cannot guarantee uninterrupted availability. Scheduled maintenance, infrastructure upgrades and events outside our control may result in periods of downtime. Where planned maintenance is expected to cause a material outage, we will use reasonable efforts to notify subscribers in advance by email or in-platform notice.
3.2 Third-Party Provider Availability
Certain platform functions - including, but not limited to, identity verification and sanctions screening - are delivered by third-party providers under contract with Validat. Validat does not control the availability of those providers and is not liable for any interruption, delay or failure in platform functionality caused by a third-party provider outage which is an act of force majeure for which Validat is not responsible. Where a provider outage materially affects core platform services, Validat will communicate this to subscribers as soon as reasonably practicable.
3.3 Data Loss
Some risk of data loss is inherent in any cloud-based service. Subscribers are responsible for maintaining their own copies and exports of data submitted to or generated within the platform - including audit logs, case records and screening results - that they require for their own regulatory or recordkeeping obligations. Validat maintains encrypted backups and, in the event of data loss caused by Validat, will use reasonable efforts to restore data from available backups. Validat’s liability for data loss is limited to taking those reasonable restoration steps.
3.4 Compensation for Downtime
Where a system-wide platform outage caused by Validat exceeds four consecutive hours, subscribers may request compensation in the form of a pro-rata subscription credit. This is the sole remedy for outages. Requests must be submitted in writing to info@validat.co.uk within 21 days of the outage. Compensation is not available for downtime attributable to: scheduled maintenance; third-party provider failures (including but not limited to identity verification or screening providers); events outside Validat’s reasonable control; the subscriber’s own equipment, network or configuration; or misuse of the platform.
3.5 Platform Updates and Modifications
Validat regularly releases updates, improvements and changes to the platform. We will endeavour to notify subscribers of material changes - for example by email or in-platform notice - where this is reasonably practicable. Minor updates may be deployed without advance notice.
SECTION 4
Acceptable Use
You must use the website and platform only for lawful purposes. You must not:
- process data you have no legal right to process;
- facilitate unlawful activity, sanctions circumvention, or activity involving sanctioned parties or terrorist financing;
- attempt to reverse engineer, scrape or systematically extract platform data (including, without limitation, for use within or by artificial intelligence) or source code;
- upload malicious code or take any action that interferes with the platform's integrity or performance;
- share access credentials with parties outside your organisation;
- misrepresent identity information submitted to verification or screening workflows;
- resell or white-label the platform services without Validat's prior written consent.
Validat may monitor service integrity, investigate suspected misuse, restrict features, suspend access or terminate services where reasonably necessary.
SECTION 5
General Provisions
5.1 Changes to These Terms
We may update these terms at any time. Material changes will be communicated by email or in-platform notice at least 30 days before taking effect. Continued use after that date constitutes acceptance.
5.2 Limitation of Liability (Website)
To the fullest extent permitted by law, Validat is not liable for any indirect, consequential or special loss arising from your use of this website, including loss of profit, data or business opportunity, save that nothing in this agreement shall exclude or limit liability for death or personal injury caused by negligence nor for fraud
5.3 Governing Law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
5.4 Severability and Waiver
If any provision of these terms is found unlawful or unenforceable, it shall be severed without affecting the remaining provisions. Any delay in enforcing a right under these terms shall not amount to a waiver of that right.
5.5 Entire Agreement
These terms including sections with blue background, together with our Privacy Policy (validat.co.uk/privacy-policy), and any documents referred to within them, constitute the entire agreement between you and Validat in relation to your use of the website and, where applicable, the platform.
5.6 No Third Party Rights
No rights are given to any third party under these terms whether under the Contracts (Rights of Third Parties) Act 1999 or otherwise.
